Terms of Service

These terms govern use of PhotoReel by organisers, photographers, team members, event guests and gallery visitors.

1. Agreement and contracting party

By creating an account, purchasing a package, accepting an invitation, uploading content, using Find My Photos or otherwise accessing PhotoReel, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you use PhotoReel for an organisation, you represent that you have authority to bind it.

Your contract is with the operator of PhotoReel identified on the applicable invoice, order confirmation or written agreement (“PhotoReel”, “we”, “us” or “our”). If you do not agree, do not use the service.

2. Eligibility and accounts

You must be at least 18 years old and legally capable of entering a contract to create a workspace or purchase a package. You must provide accurate information, protect your credentials, maintain current contact details and promptly notify us of suspected unauthorised use. You are responsible for activity under your account and for users you invite, except to the extent caused by our breach of these Terms.

3. The service

PhotoReel provides event galleries, media uploads, moderation, live displays, downloads, optional face matching, custom-domain support and related workspace tools. Features, quotas, hosting periods and support levels may differ by package or written order. We may improve or alter the service, provided we do not materially reduce a paid service during its committed hosting period without a reasonable remedy.

4. Organiser responsibilities

An Organiser must:

  • have all rights, permissions and lawful grounds needed to capture, upload, publish, analyse and share event photographs;
  • provide attendees with clear and timely notices about photography, gallery access, retention, guest uploads and face matching;
  • obtain any consent required for biometric processing or photographs of minors and provide a practical way to raise objections;
  • configure access, download, moderation, retention and sharing settings appropriately for the event;
  • review guest uploads and promptly remove unlawful, unsafe or unauthorised content; and
  • comply with privacy, image-rights, intellectual-property, consumer, accessibility and other laws applicable to the event.

The Organiser, not PhotoReel, determines who is photographed and which images are published. PhotoReel may assist with requests but is not a substitute for the Organiser’s legal assessment or attendee notice.

5. Guests, uploads and event access

Event access may be public, unlisted, code-protected, authenticated or limited to matching photographs. Do not defeat access controls or share restricted links, codes or downloaded media without authority.

If you upload content, you retain ownership but grant PhotoReel and the Organiser a worldwide, non-exclusive, royalty-free licence to host, copy, process, resize, display and distribute it solely to operate and promote that event as configured by the Organiser. You represent that you have the necessary rights and permissions. The licence ends when the content is deleted, subject to backups, legal retention and copies already lawfully downloaded by others.

6. Find My Photos

Find My Photos uses probabilistic face matching within a single event. It may miss photographs or return incorrect matches and must not be used for identity verification, surveillance or decisions affecting legal rights, access, employment, credit, safety or eligibility. You must submit only an image of yourself or an image you are authorised to use and must follow the consent notice shown before searching.

7. Acceptable use

You must not use PhotoReel to:

  • upload or distribute unlawful, infringing, deceptive, defamatory, abusive, exploitative or sexually explicit content;
  • harass, stalk, discriminate against, profile or surveil a person;
  • process biometric data without required notice, authority or consent, or build an unrelated facial-recognition database;
  • introduce malware, probe security, bypass limits or access another user’s data without permission;
  • scrape, resell, reverse engineer or use the service to develop a competing dataset or model, except where law cannot restrict this; or
  • violate law or the rights, privacy or safety of any person.

We may investigate suspected misuse and remove content, restrict a feature or suspend access where reasonably necessary to protect users, comply with law or enforce these Terms.

8. Fees, taxes and renewals

Prices, currency, quotas and hosting periods are shown at checkout or in an order. Fees are due when stated and are processed by Stripe or another disclosed provider. You are responsible for applicable taxes, excluding taxes on our net income. Unless an order expressly provides otherwise, event packages do not renew automatically.

Payments are non-refundable after the service or event hosting period has begun, except where required by law or where we fail to provide a material paid feature and do not cure the failure within a reasonable time. Statutory consumer rights remain unaffected.

9. Intellectual property

You and your licensors retain rights in your event content. PhotoReel and its licensors retain all rights in the platform, software, interface, branding, documentation and service-generated materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the service during the applicable term.

If you provide feedback, you permit us to use it without restriction or payment, provided we do not identify you publicly without consent.

10. Privacy and data processing

Each party will comply with applicable data-protection law. Our handling of personal data is described in the Privacy Policy. Where PhotoReel processes event content on an Organiser’s behalf, PhotoReel will process it to provide and secure the service, follow the Organiser’s lawful instructions, maintain appropriate safeguards and engage subprocessors as needed. A separate data-processing agreement may apply to eligible business customers.

11. Third-party services and domains

The service relies on third parties such as cloud, payment, content-delivery and communications providers. Their products may be subject to separate terms. Organisers using a custom domain are responsible for domain ownership, DNS configuration and avoiding infringement. We are not responsible for third-party services or DNS failures outside our reasonable control.

12. Availability and beta features

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, network conditions, third-party failures and emergency security work may affect availability. Preview, beta, complimentary and demonstration features may be changed or withdrawn and are provided without a service-level commitment.

13. Suspension, termination and deletion

You may stop using PhotoReel at any time. Workspace owners may delete events using available controls. We may suspend or terminate access for material breach, non-payment, legal requirement, security risk or harm to the service or others. Where practicable, we will give notice and a reasonable opportunity to cure.

At the end of a hosting period, content may become unavailable and may be deleted under the applicable retention schedule. Export content you need before expiry. Sections intended by their nature to survive—such as payment, intellectual-property, disclaimer, liability, indemnity and dispute provisions—will survive termination.

14. Disclaimers

To the maximum extent permitted by law, PhotoReel is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that all photographs will upload, that face matching will be accurate, or that content will remain available after the applicable hosting or retention period. Nothing in these Terms excludes a warranty or remedy that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary or consequential loss, or for lost profits, revenue, goodwill, anticipated savings or data, arising from these Terms, even if advised of the possibility.

PhotoReel’s aggregate liability arising from the service or these Terms will not exceed the greater of (a) the fees you paid to PhotoReel for the affected service during the 12 months before the event giving rise to liability, or (b) SGD 100 if you used only a free service. This cap does not apply where liability cannot lawfully be limited, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where applicable.

16. Indemnity

If you use PhotoReel as an Organiser or for business purposes, you will indemnify PhotoReel and its personnel against third-party claims, damages and reasonable costs arising from your event content, your instructions, your breach of sections 4, 5 or 7, or your violation of law or another person’s rights, except to the extent caused by PhotoReel’s breach, negligence or wilful misconduct.

17. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. Before filing a claim, each party will try in good faith for 30 days to resolve it after written notice. Subject to any mandatory consumer forum, the courts of Singapore have exclusive jurisdiction. Nothing prevents either party from seeking urgent injunctive relief or making a report to a regulator.

18. General terms

Neither party is liable for delay caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganisation, sale of business or by operation of law. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder continues in effect. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, the applicable order and any signed agreement are the entire agreement about the service and prevail in that order if they conflict.

19. Changes and contact

We may update these Terms for legal, security or service changes. We will post the revised Terms with an updated date and give reasonable advance notice of material changes where practicable.
